Terms of Service

These terms are the agreement between you (the restaurant, club, lounge or other venue that creates an Ozvana account — "the Venue", "you") and OSATL LLC ("Ozvana", "we"). By creating an account or using the service you agree to them. If you are signing up on behalf of a business, you confirm you are allowed to bind that business.
1. What Ozvana is
Ozvana is web software for venues: section reservations and deposits, park-and-pay, door entry and cover, orders and kitchen tickets, staff clock-in, promoter tallies, ID checks, a nightly checkout, and an AI text host that answers guests on a phone number assigned to your venue. We provide the software. You run the venue.
2. Your account
You sign in with an email link. Keep that email account secure — anyone who can read it can access your Ozvana account. One account is one venue; you are responsible for everyone you let use it (managers, servers, door staff, kitchen). Tell us at hello@ozvana.com if you believe your account has been accessed without permission.
3. Free trial, plans and billing
New venues get a 14-day free trial with no card required and no transaction fees. After the trial you are on pay as you go — no monthly fee, and a small fixed fee per guest transaction (shown on the Plan & billing page) that Ozvana collects automatically from the payment through Stripe — unless you choose a monthly plan (Founding venue or Full System), billed monthly in advance by card through Stripe, with no transaction fees. The founding-venue price is limited to the first ten venues and stays fixed while the subscription remains active; in return you agree to provide a short testimonial and let us name your venue as a customer. Prices exclude tax where tax applies. You can cancel any time from Plan & billing; access continues to the end of the paid period and there are no refunds for partial months. If a payment fails we will keep trying and show you a notice; if it stays unpaid the account is paused until it is fixed. We may change prices with at least 30 days' notice by email; the new price applies from your next renewal after that.
4. Guest payments — you are the merchant
Deposits, parking, cover and any other guest payments are processed on your own Stripe account (Stripe Connect). Ozvana never holds guest money and takes no share of it. You are the merchant of record: Stripe's fees, refunds, chargebacks, disputes, taxes on those sales and any consumer-protection obligations are yours, and Stripe's Connected Account Agreement applies to you. Set your own deposit, cancellation and towing terms and make sure they are lawful where you operate; Ozvana shows guests the terms you configure.
5. Text messaging and the AI host
When you switch the text host on, Ozvana obtains a toll-free phone number for your venue through a carrier partner (Twilio) and files the carrier verification on your behalf using the business details you give us. You must give accurate business details. The AI host answers guests using only the prices, nights, links and notes you enter; you are responsible for keeping those accurate and for reviewing conversations in your Inbox. Messages are only sent in reply to guests who text you first, and to your own manager phone. You agree not to use the number for marketing blasts or any messages that violate the TCPA, CTIA guidelines or carrier rules, and to honor STOP requests (handled automatically). You may not use the AI host in a way that misleads guests into believing they are speaking with a human when they directly ask.
6. Your data and your guests' data
You own the data you and your guests put into Ozvana. You give us permission to store and process it to run the service, as described in our Privacy Policy. You are responsible for having the right to collect what you collect (for example guest names, phone numbers, plates and IDs) under the laws where you operate, and for any notices you owe your guests. Export your data at any time from the app; we keep it for 90 days after your account closes, then delete it.
7. Acceptable use
Don't use Ozvana to break the law, to harass anyone, to store data you have no right to store, to send unsolicited messages, to probe or overload our systems, or to resell the service. Ozvana is not available to venues in the State of Georgia, USA. We can suspend accounts that put the service, other venues or guests at risk, and we'll tell you why.
8. Availability and support
We aim to keep Ozvana up all night, every night, but we don't promise uninterrupted or error-free service. Some parts depend on third parties (Stripe, Twilio, hosting and AI providers) and their outages affect us. Support is in-app (Help page and the Ozvana assistant) and by email at hello@ozvana.com; we don't offer phone support or on-site help.
9. What we don't promise
The service is provided "as is". To the fullest extent the law allows, we make no warranties, express or implied, including fitness for a particular purpose. The AI host and AI assistant can make mistakes; you are responsible for what you rely on. Ozvana is not liable for indirect, incidental, special or consequential damages, lost revenue, lost data, chargebacks, fines, or guest claims. Our total liability for any claim is limited to the fees you paid Ozvana in the three months before the claim. Some places don't allow these limits, in which case they apply as far as the law allows.
10. Your responsibility to us
You will cover us for claims by third parties (including guests, staff, promoters and regulators) that arise from how you run your venue, the content and prices you enter, your use of guest payments and messaging, or your breach of these terms.
11. Ending the agreement
You can close your account any time from Plan & billing. We can end it with 30 days' notice, or immediately if you breach these terms or don't pay. Sections 4, 6, 9, 10 and 12 survive.
12. Legal details
These terms are governed by the laws of the State of Georgia, USA, and disputes go to the state or federal courts in Fulton County, Georgia, except that either side may seek an injunction anywhere. If part of these terms is unenforceable the rest still applies. We may update these terms; material changes are announced in the app or by email at least 14 days before they take effect, and continuing to use Ozvana after that means you accept them.
